2. Scope of These Terms

These Terms apply to the use of our Website and to orders placed with NCC Supply.

NCC Supply primarily supplies products on a wholesale and trade basis. Where an order is placed on behalf of a business, company, partnership, sole trader or other commercial organisation, you confirm that you have authority to place the order on behalf of that organisation.

If we also accept orders from consumers, nothing in these Terms is intended to exclude, restrict or otherwise affect any statutory rights that cannot lawfully be excluded or restricted.

3. Your Account and Signing In

You do not need to register or create a password to use our Website or to place an order.

Your orders are kept against the email address you give when you order. To see them, you sign in with that email address and a six-digit code that is emailed to you each time you sign in. The code is sent and checked by Shopify, our e-commerce provider.

You agree to provide accurate, complete and current information when you order and to tell us if it changes.

You are responsible for keeping your email account secure and for activity carried out after signing in with your email address. Do not share a sign-in code or a private order link with anyone you do not want to see your orders. Please notify us promptly if you believe that your orders have been accessed without authorisation.

We reserve the right to suspend or restrict access where we reasonably believe there has been misuse, fraudulent activity, a breach of these Terms or a risk to the security of our Website or other customers.

4. Products and Product Information

We take reasonable care to ensure that product descriptions, specifications, images and other information displayed on our Website are accurate.

However, product images are for illustrative purposes and colours, packaging, branding or other minor details may vary from the images displayed.

Compatibility information is provided as a guide. Customers are responsible for checking that a product is suitable and compatible with the device, model or intended application before installation or use.

Where products are supplied for repair purposes, we recommend that installation or repair is undertaken by a suitably competent person.

We may update, modify or discontinue products without prior notice.

5. Product Availability

All products are subject to availability.

Displaying a product on our Website does not guarantee that the product is currently in stock or available in the quantity requested.

Where our ordering process allows an order request to be submitted before stock is finally confirmed, submission of that request does not itself guarantee availability or constitute our final acceptance of the order.

If a product is unavailable, we may contact you to offer an alternative product, revised quantity, revised delivery date or cancellation of the affected item.

You are not required to accept a substitute product.

6. Placing an Order

When you submit an order or order request through our Website, you are making an offer to purchase the products listed in your order.

After receiving your order, we may contact you to confirm matters including:

  • product availability;
  • quantities;
  • pricing;
  • delivery charges;
  • delivery arrangements; and
  • payment arrangements.

An automated acknowledgement that we have received your order does not necessarily mean that we have accepted it.

A contract between you and NCC Supply is formed when we expressly accept your order, request payment or otherwise confirm that the order has been approved for fulfilment, depending on the ordering process in operation at that time.

We reserve the right to reject or cancel an order before acceptance, including where a product is unavailable, a pricing error has occurred, payment cannot be authorised, we suspect fraud or misuse, or we are unable to fulfil the order.

7. Prices

Prices are shown in pounds sterling (GBP) unless stated otherwise.

Prices displayed on the Website are inclusive of VAT.

Where VAT applies, it will be charged at the applicable rate.

Delivery charges and any other applicable charges will be shown or communicated before the order is finalised wherever reasonably practicable.

We may change our prices at any time. Price changes will not normally affect orders that we have already accepted, except where permitted by law or where an obvious pricing error has occurred.

8. Pricing Errors

We make reasonable efforts to ensure that prices are accurate.

If we discover an obvious pricing or calculation error before fulfilling an order, we may contact you to provide the correct price and ask whether you wish to continue with the order.

We will not knowingly require you to proceed with an order at a corrected price without your agreement.

9. Payment

Available payment methods will be communicated during the order confirmation or payment process.

Payment may be required before goods are dispatched unless we have expressly agreed credit or other payment terms with you in writing.

You agree to provide accurate billing and payment information and confirm that you are authorised to use the payment method provided.

Where payment is processed by a third-party payment provider, the provider may also apply its own terms and privacy practices.

We reserve the right to delay dispatch until cleared payment has been received.

10. Business Credit Accounts

Where NCC Supply provides a customer with credit terms, those terms are subject to our approval and may be changed or withdrawn in accordance with any separate credit agreement.

Invoices must be paid within the agreed payment period.

Where legally permitted and applicable, we reserve the right to charge interest and recover reasonable costs associated with overdue business debts.

11. Delivery

We will deliver products to the delivery address provided with the order.

Estimated delivery dates and times are estimates unless we expressly agree otherwise in writing.

We are not responsible for delays caused by events outside our reasonable control, although we will take reasonable steps to minimise the effect of any delay.

You are responsible for ensuring that the delivery address and contact information supplied to us are accurate.

Additional charges resulting from an incorrect address, refused delivery, failed delivery attempt or requested redelivery may be charged to you where reasonable and legally permitted.

Risk and title to goods will pass in accordance with applicable law and any specific business terms agreed with you. For business customers, unless otherwise agreed in writing, title to goods will not pass until we have received payment in full for those goods.

12. Inspection of Business Orders

Business and trade customers should inspect deliveries promptly after receipt.

If products appear to be missing, incorrect or damaged in transit, please notify us at info@nccwholesale.org as soon as reasonably possible and provide your order number, details of the issue and, where appropriate, photographs.

Nothing in this section limits rights or remedies that cannot legally be excluded.

13. Returns

Returns are subject to our applicable Returns & Refunds Policy, where published, together with any statutory rights that apply.

Before returning a product, please contact us at info@nccwholesale.org and provide your order details and reason for the return.

Where a return authorisation or reference number is provided, it should be included with the return.

Products should be returned securely packaged and, where applicable, with accessories and other items originally supplied with them.

Different return arrangements may apply to faulty products and to products returned simply because they are no longer required.

14. Faulty or Defective Products

If you believe that a product is faulty, defective or not as described, please contact us with:

  • your order or invoice number;
  • the product concerned;
  • a description of the fault;
  • photographs or video where useful; and
  • any other information reasonably required to investigate the issue.

We may ask for the product to be returned for inspection or testing before determining the appropriate remedy.

Nothing in these Terms excludes any legal rights or remedies that cannot lawfully be excluded.

15. Installation and Repair Parts

Some products sold by NCC Supply, including replacement screens, batteries and other repair components, may require technical installation.

Customers are responsible for ensuring that installation is performed appropriately and safely.

To the extent permitted by law, NCC Supply is not responsible for damage caused by incorrect installation, misuse, unauthorised modification, accidental damage or failure to follow relevant installation or safety instructions.

This does not exclude liability for defective products or any other liability that cannot legally be excluded.

16. Warranty

Where a product is supplied with a manufacturer’s or NCC Supply warranty, the applicable warranty terms will be provided with the product, on the Website or on request.

Warranty coverage does not normally extend to fair wear and tear, accidental damage, misuse, improper storage, incorrect installation or unauthorised modification unless otherwise stated.

Any commercial warranty is provided in addition to, and does not replace, statutory rights where those rights apply.

17. Cancellation Rights for Consumers

If NCC Supply accepts orders from consumers, applicable UK consumer legislation may provide cancellation rights for certain distance contracts.

Where those rights apply, information about the applicable cancellation period, exclusions, return arrangements and refunds will be provided in accordance with applicable law.

Certain products or circumstances may be exempt from cancellation rights.

This section does not apply to purchases made wholly for business purposes where consumer cancellation rights do not apply.

18. Promotions and Discount Codes

Promotions, discounts and voucher codes may be subject to additional conditions.

Unless otherwise stated, promotional codes cannot be exchanged for cash, may not be combined with other offers and may be withdrawn or changed before an order is accepted.

We reserve the right to reject the use of a promotional code where we reasonably believe it has been used fraudulently or contrary to its applicable terms.

19. Website Use

You may use our Website only for lawful purposes.

You must not:

  • use the Website fraudulently or unlawfully;
  • attempt to gain unauthorised access to the Website, servers or systems;
  • introduce viruses, malicious code or other harmful technology;
  • interfere with the operation or security of the Website;
  • scrape, harvest or systematically extract Website data without our permission where prohibited by law;
  • impersonate another person or business; or
  • use the Website in a way that infringes the rights of another person.

We may restrict access to the Website where reasonably necessary to protect NCC Supply, our customers or our systems.

20. Intellectual Property

Unless otherwise stated, the content of the Website, including its text, graphics, branding, logos, layout, photographs and other materials, is owned by or licensed to NCC Supply and is protected by applicable intellectual property laws.

You may view and use the Website for legitimate personal or business purchasing purposes.

You must not reproduce, republish, distribute, commercially exploit or create derivative works from our Website content without permission, except where permitted by law.

Third-party trademarks and product names remain the property of their respective owners.

Our Website may contain links to websites or services operated by third parties.

These links are provided for convenience or information. We do not control third-party websites and are not responsible for their content, availability, security or privacy practices.

22. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that cannot lawfully be excluded.

For business customers, and to the extent permitted by law, NCC Supply will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill or loss of business opportunity arising from the use of our Website or products.

Any additional limitation of liability applicable to a business order may be specified in separately agreed trade terms.

Nothing in this section affects statutory rights available to consumers where applicable.

23. Events Outside Our Control

We will not be responsible for a failure or delay in performing our obligations where caused by circumstances outside our reasonable control.

Such circumstances may include severe weather, natural disasters, fire, flooding, industrial disputes, transport disruption, telecommunications or internet failures, power failures, governmental action, import or export restrictions, epidemics or pandemics, or failures affecting suppliers or delivery networks.

We will take reasonable steps to minimise the impact of such events.

24. Privacy and Personal Data

We process personal information in accordance with our Privacy Policy, available on our Website.

Our use of cookies and similar technologies is explained in our Cookie Policy.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, Website, products, processes or applicable legal requirements.

The version published on our Website at the relevant time will apply to your use of the Website.

For an order, the applicable contractual terms will generally be those in effect when the order is accepted, unless a change is required by law or otherwise agreed with you.

26. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where appropriate, removed.

The remaining provisions will continue in effect.

27. No Waiver

If we delay or fail to enforce any provision of these Terms, this does not mean that we have waived our right to enforce it later.

28. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to a contract under these Terms has no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

29. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales, unless applicable mandatory law requires otherwise.

For business customers, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.

Consumers may have additional rights regarding where legal proceedings may be brought, and nothing in these Terms removes rights that cannot lawfully be restricted.
